Website & SMS Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of websites, digital services, forms, educational resources, and SMS/text messaging programs operated by Astra OrthoMed, Inc. (“Astra OrthoMed,” “we,” “us,” or “our”), including phoenix-sts.com and AstraOrthoMed.com (collectively, the “Sites”). By accessing or using the Sites or participating in applicable digital services, you agree to these Terms. If you do not agree, please do not use the applicable Sites or services. Where you submit a web form, register for a program, or opt in to SMS/text messaging, you may be asked to affirmatively confirm your agreement to these Terms, and completing and submitting the applicable form confirms your acceptance.

1. Purpose and scope

The Sites provide information concerning Astra OrthoMed, the Phoenix Sinus Tarsi Stent System, surgeon education and training, professional programs, and related company activities. These Terms apply to website and digital-service use and do not replace separate sales terms, purchase agreements, distributor agreements, training agreements, product labeling, Instructions for Use, or other written agreements that may apply to a specific transaction or relationship.

2. Healthcare professional and general website use

Certain portions of the Sites and certain educational or training materials are intended for licensed or otherwise appropriately qualified healthcare professionals. Users are responsible for accurately representing their professional status and qualifications.

General use of the Sites is intended for adults age 18 or older. The Sites are not intended for children.

3. Medical and educational disclaimer

Information on the Sites is provided for general informational and educational purposes and is not individualized medical advice, diagnosis, or treatment. Patients and other individuals should consult an appropriately qualified healthcare professional regarding medical conditions and treatment decisions.

Healthcare professionals remain solely responsible for exercising independent professional judgment and for determining whether a product, procedure, or treatment is appropriate for an individual patient. Astra OrthoMed products must be used in accordance with applicable product labeling, Instructions for Use, regulatory requirements, and professional standards of care.

4. Surgeon training and educational programs

Astra OrthoMed may offer surgeon education, hands-on training, clinical education, and related professional programs. Submission of an application or expression of interest does not guarantee acceptance, registration, or attendance.

Astra OrthoMed may establish eligibility requirements, limit attendance, maintain waitlists, modify program content, change faculty or schedules, or cancel or reschedule a program when reasonably necessary. Additional program-specific terms may apply and will control if they conflict with these Terms.

5. SMS/text messaging terms

If you provide your mobile telephone number and affirmatively consent to receive SMS/text messages from Astra OrthoMed, we may send messages consistent with the consent you provided. Messages may relate to surgeon inquiries, training and education, scheduling, event logistics, product or customer support, order and delivery coordination, and other professional communications. Promotional or marketing text messages will be sent only where appropriate consent has been obtained.

Message frequency varies. Message and data rates may apply. Mobile carriers are not liable for delayed or undelivered messages.

You may opt out at any time by replying STOP to a message. After an opt-out request, you may receive a final message confirming your opt-out. To request assistance, reply HELP or contact Astra OrthoMed using the contact information below.

Consent to receive SMS/text messages is not a condition of purchasing any product or service.

SMS consent is not shared with third parties or affiliates for marketing purposes. Astra OrthoMed does not sell or provide SMS opt-in information to third parties for their own marketing or promotional purposes.

You are responsible for providing an accurate mobile number and for notifying us if the number changes or is reassigned.

6. Privacy

Your use of the Sites and our handling of personal information are also subject to the Astra OrthoMed Privacy Policy. The Privacy Policy should be reviewed together with these Terms. Where SMS consent is collected through a web form, the applicable form may include separate consent language and links to these Terms and the Privacy Policy.

7. Intellectual property

Unless otherwise indicated, the Sites and their content—including text, graphics, logos, photographs, illustrations, videos, animations, educational materials, training materials, product information, design elements, and other content—are owned by or licensed to Astra OrthoMed and are protected by applicable intellectual property laws.

You may view and use Site content for lawful personal, professional, and informational purposes. You may not reproduce, republish, distribute, modify, create derivative works from, commercially exploit, or use Astra OrthoMed content in a manner that implies endorsement or affiliation without prior written permission, except as otherwise permitted by law or an applicable written agreement.

8. Trademarks

Astra OrthoMed, Phoenix, Phoenix Sinus Tarsi Stent System, associated logos, and other names, marks, or branding displayed on the Sites may be trademarks or other protected identifiers of Astra OrthoMed or their respective owners. No license or right to use such marks is granted except with prior written authorization or as otherwise permitted by law.

9. Acceptable use

You agree not to use the Sites to violate applicable law; interfere with Site security or operation; attempt unauthorized access to systems or data; introduce malicious code; misrepresent your identity or professional qualifications; submit unlawful, fraudulent, misleading, or infringing content; or use Site content for unauthorized commercial purposes.

10. Third-party websites and services

The Sites may contain links to third-party websites, platforms, or services. Such links are provided for convenience and do not necessarily constitute endorsement. Astra OrthoMed does not control and is not responsible for the content, availability, security, or privacy practices of third-party services.

11. Website availability and accuracy

Astra OrthoMed seeks to provide useful and accurate information but does not warrant that Site content will always be complete, current, error-free, or continuously available. Product, training, regulatory, and other information may change. Astra OrthoMed may modify, suspend, or discontinue Site content or functionality without prior notice where permitted by law.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITES AND DIGITAL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ASTRA ORTHOMED DISCLAIMS WARRANTIES REGARDING THE OPERATION, AVAILABILITY, ACCURACY, OR FITNESS OF THE SITES FOR A PARTICULAR PURPOSE, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED. PRODUCT WARRANTIES, IF ANY, ARE GOVERNED BY THE APPLICABLE PRODUCT DOCUMENTATION OR SEPARATE WRITTEN COMMERCIAL TERMS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASTRA ORTHOMED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO USE OF, OR INABILITY TO USE, THE SITES OR DIGITAL SERVICES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Astra OrthoMed, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Sites or digital services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement or violation of the rights of any third party. Astra OrthoMed reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Astra OrthoMed’s defense of such claim.

15. Governing law and venue

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. To the extent permitted by applicable law, any legal proceeding arising from or relating to these Terms or the Sites shall be brought in a court of competent jurisdiction located in Williamson County, Tennessee.

16. Changes to these terms

Astra OrthoMed may revise these Terms periodically to reflect changes in our Sites, services, business practices, or legal requirements. Updated Terms will be posted on the applicable Site with a revised effective date. Continued use of the Sites after an update constitutes acceptance of the revised Terms to the extent permitted by law.

17. Severability and entire terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. These Terms, together with the Privacy Policy and any applicable program-specific or service-specific terms, constitute the applicable terms governing use of the Sites and digital services, subject to any separate written agreement between you and Astra OrthoMed.
